I knew writing this post that I would piss some people of and I understand that anyone who has put time and effort into creating awareness about SOS would not like me dissing it. In fairness I was probably venting and a little bit unfair to the original instigators of the union. Fair play to them for doing what most my self included didnt. And yes F@ces you are right I didnt go to the 4th of July protest, so I suppose I am hipocritical in a way. For personal reasons there was no way I could have went. But can anyone explain why the biggest protest came when the season was over and not before? My complaint is just that it seems to have gone stale, nothing seems to be happening when now when we need it most. Any one saying there are miliant, well for me it doesnt go far enough. A huge resurgance and continuance of serious publicity and protests need to start now. I hope to be proven totally wrong. I intend to email the union with some ideas and questions, at the end of the day we all want the same thing
Look, I understand a good vent as much as the next. And don't be afraid of p*ssing people off - if you have an opinion, no matter how controversial it may be, don't feel you can't post it. Yes, you will get a reaction, and it mightn't be nice, tempers are frayed/people are stressed - but the point here is to debate things. The best thing to do though in conjunction with that is to try and talk to the lads at SOS. They're normal working joe-soaps like you and I. They don't have all the answers. Maybe, as Bobby says, some full-time employees are needed now. I dunno. But I fully believe they are doing a good job. The 4th of July protest became the biggest to date, and occured then due to it being marketed (for the first time) as a day to "celebrate" - Independence Day to celebrate our freedom from the Yanks. Perhaps premature, granted. But it was about having music, comedians, speakers - making it a family day. This was the first SOS thing to take this approach. That made people more likely to join in. And if I remember correctly - it was an SOS member who suggested the idea to SOS, so there you go. There have been a number of marches organised for during the season. Many had such small numbers turn out they were barely noticed or hardly worthwhile. That's the problem. SOS can organise all that want. It's not worth a damn if no-one turns out.

Im sure there will be a meeting In Liverpool soon around the time of a game for people to attend, there will hopefully be a meeting for A Southern Irish Branch also, so hopefully loads of options for people to speak their mind or voice concerns, or tell the union where they think they are going wrong -
Spirit Of Shankly EGM - Saturday 25th September The Spirit of Shankly, Liverpool Supporters Union, are holding their latest EGM at Zelig's in Liverpool One, Liverpool on Saturday 25th September 2010 starting at 11.45am. This is the day of the home game against Sunderland. We are looking to have the meeting finished no later than 1.30pm. We are planning to stream the meeting on a delayed basis and as such we will be looking to allow the whole membership (rather than just those attending) to hear the discussions and debates and to vote on the resolutions put before the meeting. The meeting will update members on a number of key issues - mainly supporter ownership, the Share LiverpoolFC agreement (which will need to be ratified by members), new branches and any information we have about the sale process. In addition members can add items to the agenda that will be sent out shortly. I was talking to a SOS committee member on the train into liverpool yesturday and I asked him wat the SOS's stance on a boycot and he said "it would never happen as we have to much of a fan base for it to happen" and then I asked him about blocking fans from entering the staduim and he said "if anyone try's this SOS would problaly step in and allow the fans into the ground as they wouldn't want to be associated those clown's that tried to blockade the turnstille's" He was telling me about the ryanair ceasing flight's from belfast airport to JLA that the SOS group in NI where in contact about getting the boat from belfast to birkenhead and SOS are trying to get some quote's for coaches from the port to bring the fan's to Anfield This lad is also going to Sweden in 2 weeks to try set up a scandinavain group

SOS is made up of approximately 7,000 full members and over 30,000 associates that follow its activities on a regular basis. 2.4 SL is an Industrial and Provident Society which was established 2008, with the primary purposes of strengthening the bond between the Club and the community and of pursuing the acquisition of an interest in Liverpool Football Club. SL is made up of less than 20 share‐holding members and has 30,000+ registrants who have expressed an interest to become members of the Society in order to acquire an interest in LFC. SL also has an agreement in principle to £250,000 to underwrite the launch of any share issue. 2.5 The parties agree that the individual organisations described in Schedule One will have control over their own affairs subject to the commitment made by them in paragraph 2.2 above and the agreed commitments given in Schedule Two; 3 SHARE LIVERPOOL 3.1 SL agree that within a reasonable time and no later than one month from the date of this agreement to rebrand all promotional, public relation, electronic and written media and other materials to reflect the agreed branding of SL to “Spirit of Shankly – Share Liverpool Limited” (“SOS‐SL”) and to announce the rebranding via SOS‐SL Media (see below) accordingly; 3.2 SL accept that the aims and objectives of SOS are a matter for the SOS Management Committee subject to the overriding aims agreed in 2.2 above; 3.3 SL accept and acknowledge that its conduct, actions and activities may have implications for SOS and will proceed taking account of this at all times; 3.3 The SL Board, in accordance with its Constitution, will comprise of no less than six members and no more than eleven members; 3.4 Subject to there being two member representatives of SOS, who are also members of SL, at least two of the SL board who have been nominated and appointed by the SOS Management Committee will be selected or elected by SL onto its board. They will be full members of the SL Board and will count towards the numbers detailed in 3.3 above; S p i r i t o f S h a n k l y Page 3 3.5 Any future change to the membership or composition of the SL board of management will be made in line with the SL constitution; 3.6 SL agrees that the tasks of Public Relations, Marketing and Communication will be shared with SOS under the branding (“SOS‐SL Media”) which will coordinate all public relations, media and communication matters arising relating to supporter ownership as detailed in Schedule Three. 3.7 SL will, following the completion of 3.1 above, adopt and use the joint SOS‐SL branding, logos and other promotional material as agreed by SOS‐SL Media; 3.8 In line with the constitution and subject to agreement by the Financial Services Authority SL will accept membership from individual supporters and groups when in a position to do so; 3.9 Any individuals who become members of SL will be offered membership of SOS; 3.10 The SL board will not disqualify any of its membership from holding positions of management or being a board member of either the boards of SOS or SOS‐CU, subject to issues arising as a result of legislation or regulation ; 3.11 SL agrees to hold any confidential Information obtained from SOS in confidence and not to disclose or permit it to be made available to any person, firm or company without the prior permission of the SOS Board 4 SPIRIT OF SHANKLY 4.1 SOS accept that the aims and objectives of SL are a matter for the membership of SL subject to its constitution and the overriding aims agreed in 2.2 above; 4.2 SOS accept and acknowledge that its conduct, actions and activities may have implications for SL and will proceed taking account of this at all times. SOS specifically will not proceed with a course of action which may hinder or obstruct negotiations that SL may have with respect to its purchase of a stake in LFC; 4.3 SOS agrees to place before its members an amendment to its Constitution to allow two members Share Liverpool to be co‐opted as full members of the SOS Management Committee; 4.4 Nothing will disqualify any current SOS Management Committee member from sitting on any or all of the boards of management of SL, SOS or SOS‐CU; 4.5 SOS agrees that the tasks of Public Relations, Marketing and Communication will be shared with SL under the branding (“SOS‐SL Media”) which will coordinate all public relations, media and communication matters arising relating to supporter ownership as detailed in Schedule Three. 4.6 SOS agrees to hold any confidential Information obtained from SL in confidence and not to disclose or permit it to be made available to any person, firm or company without the prior permission of the SL Board 5 CONFIDENTIALITY 5.1 Each of the parties agree to keep confidential all information obtained from the other in confidence and not to disclose or permit it to be disclosed to any person, media or entity without the prior written consent of the other party, except (i) to the extent that such disclosure is necessary for purposes of (A) responding to inquiries or requests from governmental regulatory agencies, (B) obtaining legal, accounting, auditing or other professional services or (C) filing tax returns or other legally required documents or (ii) as may be required by law, any competent authority or policy. 6 TERMINATION 6.1 In the event either party breaches any of its obligations under this S p i r i t o f S h a n k l y Page 4 agreement, then the other party shall have the right to forthwith terminate this agreement by giving notice to the other party in accordance with paragraph 6.2 below. Save for the parties obligations in relation to confidential information set out in paragraph 5.1 which shall continue notwithstanding any termination of this agreement, all the respective obligations of each of the parties under this Agreement shall terminate upon notice of termination being deemed to have been given in accordance with paragraph 6.2 below. 6.2 Any notice required or permitted to be given under this agreement shall be given by recorded post sent to the relevant party at the address specified for that party in Schedule 1 or such other address as shall from time to time be notified by that party to the other party in writing. Each such notice shall be deemed to have been given when mailed, as evidenced by the receipt issued to the sender. 6.3 SL shall also have the right to forthwith terminate this agreement by giving notice to SOS in accordance with paragraph 6.2 if the membership of SOS does not approve the amendment to the constitution of SOS as contemplated in paragraph 4.3 within one month from the date of this agreement. 7 NO PARTNERSHIP 7.1 The parties hereby confirm that this agreement and the arrangements provided for in this agreement do not constitute a partnership between the parties and that no partnership shall be deemed to exist as a result of the parties performing their respective obligations to each other under this agreement or otherwise. 8 GOVERNING LAW 8.1 This Agreement shall be governed by and construed under English law. SCHEDULE ONE 9.1 Liverpool Supporters’ Union Limited of EDT, 98 Great Homer Street, Liverpool, L5 3LF; 9.2 Share Liverpool Limited of Horwath Clark Whitehill LLP, Arkwright House, Parsonage Gardens, Manchester, M3 2HP; 9.3 Liverpool Supporters Union also trading as Spirit of Shankly Credit Union of EDT, 98 Great Homer Street, Liverpool, L5 3LF; SCHEDULE TWO 10.0 To act at all times to encourage supporters’ ownership of Liverpool Football Club; 10.2 To act at all times with due regard to the aims and objectives of the organisations listed in Schedule One above; 10.3 Not to engage in any activity detrimental to the aims and objectives of the organisations listed in Schedule One above; 10.4 In order to investigate a potential transaction with the owners of LFC, both SOS and SL will have access to certain information in relation to both the SL bid and of LFC itself (“Confidential Information”). Both parties agree to keep any such information confidential. 10.5 SOS and SL agree to ensure that each person to whom disclosure of Confidential Information is made is fully aware in advance of the confidential nature of the information and their obligations under this agreement and that each such person gives an undertaking in respect of the Confidential Information. S p i r i t o f S h a n k l y Page 5 SCHEDULE THREE 11.1 The parties to these Heads of Agreement will establish, within two months of the date of this agreement, a joint Public Relations, Marketing and Communication team to be called SOS‐SL Media; SOS‐SL Media will promote the aims and objectives of SOS, SL & SOS‐CU on issues solely relating to supporter ownership; 11.2 The team of SOS‐SL Media will comprise the following permanent positions, Chair, Member, Member, Member; 11.3 SOS and SL will agree the appointment of a Chair of SOS‐SL Media from the membership of SOS or membership of the SL Board; 11.4 Subject to the agreed appointment of a Chair from either organisation the appointment of the three further permanent positions will be agreed by the SOS Management Committee and the Board of SL in such a way that the four permanent positions are held by two representatives of each organisation; 11.5 SOS‐SL Media will be managed by its permanent members who will have the only decision making powers (by vote or otherwise) having regard at all times to the terms of this agreement in Schedule Two SCHEDULE TWO STRATEGY The Union has been highly successful in its “Tom and George Not Welcome Here” campaigns. We have played a significant part in seeing the Americans deciding to sell and it is unlikely that we will ever see them at Anfield again. However, while we need to keep underlining that message until they have gone we now need to focus on the sale process and the part that the supporters can play in securing the Club’s future. SOS‐SL have already been contacted by one prospective purchaser who saw the obvious logic of engaging with the supporters and we have constantly sent the message that we are prepared to speak to any credible bidders willing to see supporter investment play a part in a change of ownership. However SOS‐SL are also examining the possibility of the supporters taking a majority share in the Club by engaging in the sale process. This strategy envisages the Club’s senior management and RBS joining with SOS‐SL in forming a solution to the sale problems. The supporters will be the source of any solution to the mess that the Club finds itself in as any purchaser will seek to repay debt through profits generated by the supporters while the supporters are suggesting that their purchase will achieve this aim sooner and more safely than through a sale to an outside investor. The Club has access to and the credibility to convince LFC’s worldwide fan base that a call to arms from the Club, backed up by financial support from RBS (or another Bank or funder) would see the Club’s immediate problems solved in a matter of months. Additionally, supporters are the last to know what is happening and rely upon press reports, rumour and innuendo about deadlines and timetables. Well, the time for this uncertainty is over and it is time that the supporters placed their own deadline on sorting out the mess we have been placed in by the owners and banks. With all of this in mind we are proposing the following to our members (and seeking their support) and to all Liverpool supporters the following strategy: S p i r i t o f S h a n k l y Page 6 1. We retain our focus on the owners and make sure they never set foot in Liverpool again and that they never forget “Tom and George You’re Not Welcome Here”; 2. The supporters set a deadline of our own of 31st October 2010 for the resolution of the sale process of Liverpool FC; 3. We demand that the senior management of the Club engage with SOS‐SL and publicly confirm their support for a Club backed supporter ownership model or confirm why they believe 6 million worldwide supporters cannot be trusted with the custodianship of our Club when unknown “investors” can; 4. We demand two things of RBS who will be given the opportunity to get behind a supporter investment scheme (and save their own investment in the process): a. Do NOT refinance our current owners debt BUT; b. “Finance The Fans” – SOS will lead a positive campaign to show RBS that the worldwide supporters are ready, willing and able to solve the current mess. SOS will ask every Liverpool supporter to directly let RBS know that if the Club and RBS get behind a properly organised scheme then they will as one person announce “I’m In” – this show of strength and numbers will underline that the supporters are the solution as they have always been. 5. In the absence of a positive response from the Club or RBS (or upon confirmation that the owners have had their debt refinanced) then following the Supporters’ Deadline Day of 31st October 2010, and until the Club and RBS listen to supporters, then peaceful direct action protests will take place at: a. Anfield (inside and outside the ground); b. Club Retail outlets; c. Club senior management who refuse to engage with the supporters will be made “Not Welcome” with all the attendant difficulties for them that this entails; d. RBS Headquarters; e. RBS Branches; f. The workplaces or anywhere that senior RBS management involved in the Club’s account management can be located; The Union recognises that this is a step up in protests and campaigns but the Club, owners, RBS and other involved with the sale of the Club have to recognise that the supporters are the solution. We have a once in generation chance to solve the Club’s problems and to deliver a stable environment for the future those managing and funding the Club have a massive burden of responsibility upon them. Presumably to date they have not taken supporters seriously enough and so if they are given the chance to engage and do not, then they will see what thousands of grounds around Britain and the world have seen over the last 50 years – the power of the supporters of Liverpool FC. “Finance The Fans” because millions will say with one voice “I’m In!” S p i r i t o f S h a n k l y Page 7
Thursday 16th September 2010 Following reports regarding Hicks and Gillett's possible attendance at tonight's match against Steaua Bucharest, Spirit Of Shankly has enquired with Merseyside Police to ascertain whether this is true. Subsequently, after they themselves checked with the club, we have been informed that neither Hicks and Gillett nor any member of their families will be in attendance tonight. There will, however, be business representatives at Anfield to show potential purchasers around the club. Even with the prolonged 'sale' of the club, Spirit Of Shankly reiterates the message that Tom and George are Not Welcome Here, and that for any potential purchaser we would welcome the opportunity to engage with them about the sale process and the role supporters can play.
A united fan base is essential - join Spirit of Shankly A statement that is often used in today’s media is that Liverpool have one of, if not the, best set of supporters in the world. Stand at the front of the Kop on a European night, watching the flags glistening in the floodlights that immerse the famous ground whilst listening to the inhabitants of this great mountain of sporting tribalism belting out the iconic ‘You’ll Never Walk Alone’ and it would be hard not to agree. Yet it’s a great shame that Liverpool’s support is all cast under one sweeping generalisation. As with all football support the idea that Liverpool’s fan base is united by the same beliefs and opinions is incredibly wide of the mark. A trip to one of the notable pubs close to Anfield on a match day, or logging on to a Liverpool forum, will provide anyone with enough evidence to suggest that Liverpool supporters are very diversified in their opinions of what is best for Liverpool Football Club. Even when sets of supporters are in agreement on a given topic often an argument can break out on how to reach this situation. Most Liverpool fans will tell you of how they want rid of Tom Hicks and George Gillett, yet there are many different ways of doing this offered by many different supporters, all of which are open for debate. Some supporters are mainly concerned about what's happening on the pitch, others are worried about what's going on at board level, some may even be worried whether the next away kit will be white, black or yellow. All supporters care about the club but all are different. These differences are why it’s incredibly important that Spirit of Shankly – The Liverpool Supporters Union – exists. The Union offers somewhere to bring these debates and have them discussed in a reasonable manner amongst a large number of Liverpool supporters. Union meetings are a democratic environment in which a solution can be voted upon by paying members and, thanks to the strength in numbers the Union has, can then be taken to the highest officials at Liverpool Football Club and discussed with them. It’s often been said that Spirit of Shankly is a collection of local, match going, supporters and only their opinions are the ones that count to the committee. Of course this is not true, in fact it’s far from it. If you’re a member of the Union you have as much as say in what action is taken as the next member. That, for me, is why it’s essential every Liverpool supporter becomes a member. Look on the Union’s Facebook page, check their Twitter followers and you’ll stumble upon a huge number of supporters from all around the globe, all with different views, all from different back grounds and all united in their belief that, as a group, Liverpool supporters can work to improve the quality of the club and community. A lot of the publicity the Union has received, the primary source of their popularity, is from their work with the current ownership situation. No other organisation has taken part in so many talks with high-level officials at the club, no other group has held more rallies and demonstrations to further publicise the cause and no one else has forced the club to listen more than Spirit of Shankly. Yet for me their efforts on forcing Tom Hicks and George Gillett out of Anfield are just a small part of what the Union has to offer. Their work in the community is commendable, most notably their free football training sessions with local children, many of whom may not have the means to pay for the shockingly expensive days that professionals, including our club, offer. Affordable travel to away games is another fantastic and useful service which the Union has worked hard to offer its members. Whilst the club have looked to raise ticket prices whenever possible, and teamed up with profit-hungry companies such as Thomas Cook, the Union has battled to offer amazingly cheap travel options so the average fan can afford to watch their team away from home. That’s not to say the Union is faultless, a very well publicised occurance took place during an end-of-season party run by the Union which had many up in arms, The Union handled this as well as they could, making changes for the next event of similar style. But every organisation that grows this fast has similar problems, so long as they are handled properly, which they were, they can forgiven. During a time of such negativity at Liverpool Football Club, having a united fan base is essential. Everyone has a difference of a opinion, everyone believes their way of doing things is right but the main thing is with the Liverpool Supporters Union everyone has a voice. by Michael Owen

While the original copy document is not in the Union's possession, a full and accurate copy of it has been made and is attached here. The document throws up many questions about the public messages coming from Martin Broughton, the Club and Barclays Capital underlining again that Liverpool Football Club teeters on the edge of a financial abyss. From the documents the Spirit of Shankly have gleaned the following main points: •Up until at least the beginning of August, if Barcap were indeed serious about seeking a buyer they had also been seeking to re-finance the debt. So much so that they refer to approaching around 25 potential investors. •The Executive Directors (Broughton, Purslow and Ayre) sought advice from Slaughter and May (a large international legal practice) concerning whether re-financing by RBS should be approved in light of their fiduciary responsibilities. Their duties as Directors are to act in the interests of the club. The club in this instance is Hicks and Gillett. Their appears to be legal argument about how they can act in the best interests of the club and therefore the shareholders, considering the circumstances. •On the basis of Slaughter and May's advice, RBS subsequently made an amended re-financing proposal. It is not clear from this document whether that amendment was sufficient for Slaughter and May to have since indicated that the changes were sufficient to allay the Executive Directors' reservations. •The firms identified as being willing to be involved in re-financing the Club’s debt are identified as FBR, Beach Point, Halcyon, Blackrock, DK Partners, Stonetower, Trimaran, DE Shaw, Avenue, Centrebridge and GSO. •In the period July to August the Club’s debt was increased in the following sums: 15/07/2010 Ticking Fee: £5.0m 15/08/2010 Ticking Fee: £7.5m 31/08/2010 Ticking Fee: £7.5m PIK Increase (Aug): £0.8m Total: £20.8m •The sum currently required to re-finance the Club is £300m. However, this can be reduced to £187.5m through using the proceeds of a £75m loan to the holding company in Delaware and by rolling £37.5m into the proposed loan for the new stadium. This plan for securing debt against the as yet unbuilt stadium, means should the stadium finally come to fruition, revenue it generates would contribute towards the ownership debt as opposed to its construction. •FBR propose to lend £75m to Kop Delaware. Delaware is a "deregulated" haven in the USA, along the same lines as Cayman. As such, it would not be unreasonable to think that a similar mechanism to the Kop Cayman loan could take place in due course, i.e. Kop Delaware could "lend" this money to LFC. (FBR is a top ten rated US investment bank) The questions that this document raises, among others, are: •Why did Martin Broughton say the club would be sold "before the end of the transfer season" when BarCap were proposing re-financing "solutions" until at least the end of July? •Did the changes proposed by BarCap , in line with Slaughter & May's advice, sufficiently address the Executive Directors' questions regarding their fiduciary responsibilities, and as a result prevent them from using this argument to continue to stop re-financing? •In light of the apparent position that the Executive Directors appear to have powers vested in them by means of conditions attached to the RBS debt, what would the position of the Executive Directors be if either or both of the owners could raise sufficient to debt to repay RBS? •Could they refuse to allow RBS to be repaid? Would RBS accept payment with the result of removing the current powers apparently held by the Executive Directors? •So, the major question to be answered is are Barcap currently engaged with any prospective buyers or is it pursuing a re-financing or both? The document is clearly very technical and for Spirit of Shankly members and supporters it is another in a long line of pieces of information that make little sense to the average supporter. We feel it is in supporters' best interests to be aware of this information, and we will endeavour to keep you fully updated of any further developments, along with our plans for action to follow on from recent developments. The Spirit of Shankly are urging the senior management of LFC to engage with the supporters in using the supporters who are the only solution to this problem. We will be ensuring that those at LFC are fully aware of our views and we will be planning for all potential outcomes. RBS need to bring this issue to a close as far as they can, without leaving a vacuum behind. They will not be forgiven, after bleeding the Club for two years or more, if they do not also take steps to secure Liverpool Football Club’s long term future. The Spirit of Shankly has proposed action by supporters following its EGM on the 25th September 2010 . In addition Spirit of Shankly-Share LiverpoolFC are seeking to engage in the sale process and this information merely underlines again that it is the supporters and only the supporters who can solve this problem. We urge the Club, RBS and Barclays Capital to recognise our solution and work together to save our Club.
